Terms of Service
Terms governing the use of the Eucashbox Omnichannel Fulfillment & Logistics Management Platform provided by Eucashbox Logistik GmbH.
Version 1.0 · Valid from 20 October 2026
1. Scope and contracting parties
These Terms of Service apply to the use of the web application “Eucashbox Omnichannel Fulfillment & Logistics Management Platform” (the “Platform”) and to all related services provided by Eucashbox Logistik GmbH, Dellenfeld 25, 42653 Solingen, Germany (“Eucashbox”, “we”).
The Platform is directed exclusively at entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. Contracts with consumers are not concluded. Terms and conditions of the customer that conflict with or deviate from these Terms do not apply, even if we do not expressly object to them.
2. Definitions
- Customer — the merchant that concludes the contract with us.
- User — a natural person whom the Customer authorises to use the Platform.
- Sales channel — a marketplace, shop system or other platform through which the Customer sells goods and which the Customer connects to the Platform.
- Connected channel data — data that the Platform receives from a sales channel on the basis of an authorisation granted by the Customer.
- Fulfilment services — physical logistics services such as storage, picking, packing and despatch; these are ordered separately and are not part of the software subscription.
3. Conclusion of the contract
The presentation of the Platform on this website does not constitute a binding offer. A contract is concluded when the Customer accepts our written quotation in text form, or when we activate the Customer's tenant after a scoping call. The scope of services, the plan and the price result from the quotation and these Terms.
The free Connect plan is also a contract under these Terms and is entered into for an indefinite period. We may discontinue it with 30 days' notice; the Customer may upgrade to a paid plan at any time.
4. Access, users and credentials
The Customer receives access to a tenant for which it appoints administrators. Administrators create named user accounts and assign roles. Shared accounts and generic logins are not permitted. The Customer keeps access credentials confidential, enables the two-factor authentication we require, and informs us without delay if it suspects that credentials have been compromised.
The Customer is responsible for the acts of its users as for its own. Authorisations for sales channels may only be granted by persons who are authorised to represent the Customer towards that sales channel.
5. Obligations of the Customer
- The Customer ensures that it is entitled to connect the sales channels it authorises, and that it complies with the terms of those channels.
- The Customer is responsible for the accuracy of the product and stock data it enters or synchronises, and for the results of shipping orders that the Platform has processed on its instruction.
- The Customer maintains its own relationship with its customers, including statutory information duties, withdrawal rights and product liability.
- The Customer informs us without delay of changes that affect the service, in particular a change of sales channel, closure of a channel or a significant change in order volume.
- The Customer does not use the Platform to store or transmit unlawful content, and does not attempt to circumvent technical protection measures or access data of other tenants.
6. Fees, billing and payment
Fees are set out in the current price list on this website and in the quotation. All prices are net in euro and exclude statutory VAT. VAT is shown separately on the invoice at the rate applicable to the Customer's country; for VAT-registered customers in other EU member states, the reverse charge procedure applies where the requirements are met.
Fees are invoiced monthly in advance and are due within 14 days of the invoice date without deduction. Annual prepayment is granted a 15% discount. Add-ons are invoiced from the month in which they are activated; one-off items are invoiced when ordered. If the Customer is in default, we may suspend access to the Platform after a written reminder and a reasonable period, and charge default interest at the statutory rate.
We may adjust prices with effect from the beginning of a billing month if costs change, in particular purchase prices, hosting costs, energy costs or statutory charges. We announce the change at least 60 days in advance in text form. The Customer may terminate the contract with effect from the date of the change; if it does not terminate, the new prices apply.
7. Availability and support
We provide the Platform with an availability of 99.5% on average over the year for the paid plans, measured at the hand-over point of our hosting provider. Excluded are announced maintenance windows, disruptions outside our sphere of influence such as failures of the sales channel interfaces or the public internet, and periods of force majeure. Enterprise customers receive 99.9% and an individual service level agreement.
Support is provided by e-mail and telephone in German and English during business hours (Monday to Friday, 09:00–17:00 CET). Response times depend on the plan and are stated on the Pricing page. Support does not include the configuration of the Customer's sales channels or the maintenance of the Customer's master data beyond the onboarding included in the plan.
8. Third-party platforms and interfaces
The Platform connects to third-party sales channels through their official interfaces. For Amazon this is the Selling Partner API. Eucashbox is an independent provider and is not affiliated with, endorsed by or sponsored by Amazon or any other operator of a sales channel.
The availability and functional scope of these interfaces are determined by the respective operator. If an operator changes or discontinues an interface, or rejects or revokes an authorisation, we will adapt the connection within a reasonable period where this is technically possible. A temporary restriction of functions that depend on that interface does not constitute a defect of the Platform; we will inform the Customer promptly and offer a workaround where one exists.
9. Acceptable use
The Customer may not:
- resell, sublicense or make the Platform available to third parties without our written consent;
- reverse engineer, decompile or extract substantial parts of the software, except where mandatory law permits;
- use automated means to query the Platform beyond the documented API, or impair its stability;
- use the Platform to process data of sales channels for which it holds no authorisation;
- use the Platform in a manner that infringes the rights of third parties, in particular trademark, competition or data protection law.
10. Intellectual property
All rights in the Platform, its documentation and its source code remain with Eucashbox or its licensors. The Customer receives a non-exclusive, non-transferable right, limited to the term of the contract, to use the Platform for its own business purposes in accordance with these Terms. The Customer retains all rights to its own data and grants us only the rights necessary to provide the service.
11. Data protection and confidentiality
We process personal data in accordance with our Privacy Policy. Where we process personal data on behalf of the Customer, we conclude a data processing agreement pursuant to Article 28 GDPR, which forms part of the contract. Both parties treat the other's confidential information as confidential and use it only for the purposes of the contract.
12. Warranty
We provide the Platform in accordance with the service description on this website and in the quotation. We remedy defects within a reasonable period after a reproducible report. The Customer supports us by describing the defect and providing the information needed to reproduce it. Statutory provisions on the limitation of liability and on the assertion of defects remain unaffected.
13. Liability
We are liable without limitation for intent and gross negligence, for injury to life, body or health, and under the German Product Liability Act. For simple negligence we are liable only for breach of a material contractual obligation, and limited to the foreseeable damage typical for this type of contract; in that case liability per contract year is limited to the annual fee paid by the Customer, and to a maximum of €50,000.
We are not liable for the loss of profit, for loss of production or for indirect damage, nor for the accuracy of data that the Customer or a sales channel has transmitted to us incorrectly, unless we are responsible for the error. We are not liable for the conduct of sales channel operators or carriers. The Customer is responsible for maintaining its own backups of data that it holds outside the Platform.
14. Term and termination
The contract runs for an indefinite period and may be terminated by either party with 30 days' notice to the end of a billing month, in text form. The free Connect plan may be terminated by either party at any time to the end of a billing month. The right to terminate for good cause remains unaffected.
On termination, access ends at the end of the contract period. The Customer may request an export of its data in CSV format up to 14 days after termination. We then delete the data in accordance with the retention rules in the Privacy Policy.
15. Changes to these Terms
We may amend these Terms if the change is necessary for technical, regulatory or organisational reasons, provided it is reasonable for the Customer taking our interests into account. We announce changes at least 30 days in advance in text form. If the Customer does not object within 30 days, the amended Terms apply. We will point out the effect of silence in the notification.
16. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction for all disputes arising from or in connection with this contract is Wuppertal, Germany, if the Customer is a merchant, a legal entity under public law or a special fund under public law.
We are not obliged and not willing to participate in a dispute resolution procedure before a consumer arbitration board. The EU Commission's platform for online dispute resolution was discontinued; the information duty under § 36 of the German Consumer Dispute Resolution Act does not apply to contracts with entrepreneurs.
